  • 1. GENERAL INFORMATION

1.1. WebTeachers.eu (“WebTeachers”, “we,” “us,” or “our”) provides its services through its website located at http://webteachers.eu (the “Website”) and related services (collectively, such services, including any possible new features and applications, and the Website, the “Service(s)”), is subject to these Terms of Use.

1.2. The present Terms of Use constitute the complete Agreement ("Agreement") between you and WebTeachers with respect to this Website. By using this Website and/or downloading any content, you agree to be bound by this Agreement. The Terms of Use apply to your use of the Services (as described below), the accompanying supporting network, software and any other related links.

1.3. Terms of Use are legally binding and are accepted by the User (Teacher, Student or Parent) during the account registration process on the WebTeachers Website.

1.4. The present Terms of Use take effect after User gives consent to them in the form of the registration on the Website, by checking "I agree with the Terms of Use" – so you inform WebTeachers that you have read, understood and accepted these Terms of Use. This Agreement also applies to all Users, visitors, and others that access the Services without completing the registration process. The use of any part of the Website confirms your agreement with these Terms of Use.If you do not agree with any provision of these Terms of Use, you should not use this Website or Services.

1.5. You fully understand and agree to be bound by these Terms of Use, as well as possible changes that may be periodically made. WebTeachers reserve the right to modify, edit, update and change any of the terms due to a number of reasons, including but not limited to commercial, legal, as well as for reasons related to the customer service. The updated Terms of Use are made available on the Website. We will inform the User about all amendments, supplements or changes by posting a new version of the Terms of Use on the Website.

1.6. The Terms of Use will be effective immediately upon posting on the Website. You must familiarize yourself with the current Terms of Use. WebTeachers recommend the User to regularly check the updates of the Terms of Use. Your continued use of the Services after the date any such changes become effective constitutes your acceptance of the new Terms of Use.

1.7. WebTeachers also reserve the right to update and/or change pricing structure as needed including but not limited to changes based on our community, database and/or market trends. Your use of the Website will be subject to the most current version posted on the Website at the time of your use. By using this Website or downloading, uploading or using any content listed under the WebTeachers domain you agree to be bound by this Agreement.

1.8. In addition, when using certain Services, User will be subject to any additional terms applicable to such Services that may be posted by WebTeachers from time to time, including, without limitation, collection and use of your information as set forth in our Privacy Policy, whether or not you are a registered user of our Service, as well as Users who have registered Teacher account at WebTeachers shall also be subject to the additional Teacher Terms both located on the Website. All such terms are hereby incorporated by reference into these Terms of Use.

  • 2. SERVICES AND REGISTRATION

2.1. This Website is owned and operated by SIA “Language School”, reg.no.50103931121, based in Republic of Latvia.

2.2. WebTeachers is an educational online. WebTeachers provides opportunity for Students and Parents, searching for Teachers, to connect with Teachers, for private online and one-to-one lessons. The Services include a platform for assisting Users seeking tutoring services (the “Student”) or their legal representatives, such as parents/guardians (the “Parent”) in selecting Users, who provide tutoring services (the “Teacher”).

2.3. Subject to these Terms of Use, we grant to you a limited, personal, non-exclusive, non-transferable, freely revocable license to use the Services for your personal, non-commercial use and not for resale or further distribution and only as permitted by the features of the Services. WebTeachers reserves all rights not expressly granted herein in the Services and the WebTeachers Content (as defined below). WebTeachers may terminate this license at any time for any reason or no reason.

2.4. You may use the Services only if you can form a binding agreement with WebTeachers, and only in compliance with these Terms of Use and all applicable national and international laws and regulations. Services are not available to any Users previously removed from the WebTeachers website and/or denied access by WebTeachers administration.

2.5. User is required to register an account on the Website to access and use certain features of the Service. If you choose to register for the Service, you agree to provide and maintain true, accurate, current and complete information about yourself as required during registration process. Registration data and certain other information about you are governed by our Privacy Policy.

2.6. Individuals under the age of 16 are not eligible to use this Website unsupervised and register for an account or submit any personal information to us. Any use or access to the Services by anyone under age of 16 is strictly prohibited and in violation of these Terms of Use. By using this Website and/or opening an account, you warrant that you are 16 years of age or older. Individuals under the age of 18 can use our Services only in conjunction with a Parent/Legal Guardian. In this case, the Parent is responsible for any and all activities of the Student.

2.7. If you open a WebTeachers account on behalf of a company, organization, or other entity, then "you" includes you and that entity, and you represent and warrant that you are an authorized representative of the entity with the authority to bind the entity to this Agreement, and that you agree to this Agreement on the entity's behalf.

2.8. By connecting to WebTeachers with a third-party service, you give us permission to access and use your information from that service as permitted by that service, and to store your log-in credentials for that service.

2.9. You are responsible for maintaining the confidentiality of your account login data and password and you shall not distribute this access information or allow others to use this access information to gain access to this Website. You agree to take reasonable steps to prevent others from obtaining your access information and to notify WebTeachers of any unauthorized access. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You shall be liable for payment for all Services received by others using your account, with or without your permission or knowledge prior to the time that you notify WebTeachers of any unauthorized use.

2.10. WebTeachers allow you to browse, view, and use Services only as permitted and described in these Terms of Use. If you have registered for a WebTeachers account and WebTeachers has approved your registration, you may be able to access full WebTeachers content, which shall be used only as permitted below. WebTeachers reserves the right to revoke your authorization to view, download and use Services and information available on this Website at any time, and you agree to immediately discontinue such use upon notice from WebTeachers.

2.11. WebTeachers may restrict or remove your access to this Website at any time or restrict or remove the use of any Services for any reason at our sole discretion. You agree to immediately discontinue all use of the Services upon receiving written notification from WebTeachers.

2.12. WebTeachers may immediately revoke all access to Services granted to you without notice or liability if you fail to comply with any provision of this Agreement. If access is revoked, you agree to immediately stop using this Website and your account. Your use of this Website and/or Services shall comply with all applicable laws.

2.13. Except for your User Content, the Services and all materials therein, including, without limitation, software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music, and User Content belonging to other Users (the "WebTeachers Content"), and all intellectual property rights related thereto, are the exclusive property of WebTeachers and its licensors (including other Users who post User Content to the Service).

2.14. Except as otherwise explicitly provided in these Terms of Use or as may be expressly permitted by applicable law, you will not, and will not permit or authorize any third party to: reproduce, modify, translate, enhance, decompile, disassemble, reverse engineer or create derivative works of any of our Services or WebTeachers Content; rent, lease or sublicense access to any of our Services or WebTeachers Content; or circumvent or disable any security or technological features or measures of our Services.

2.15. All rights not specifically granted under this Agreement are reserved to WebTeachers. Additionally, we do not allow the use of automated software or other technologies for searching our Website and/or retrieving Services or related information.

2.16. You acknowledge that we may establish general practices and limits concerning use of the Services, including without limitation the maximum period of time that data or other content will be retained and the maximum storage space that will be allotted on our servers on your behalf. You agree that WebTeachers has no responsibility or liability for the deletion or failure to store any data or other User Content maintained or uploaded. You acknowledge that we reserve the right to terminate account that is inactive for an extended period of time. You further acknowledge that we reserve the right to change these general practices and limits at any time, at our sole discretion, with or without notice.

2.17. WebTeachers reserves the right to modify or discontinue, temporarily or permanently, all or any portion of our Services without notice. We will not be liable to you or to any third party for any modification, suspension, or discontinuance of all or any portion of our Services.

2.18. WebTeachers also reserves the right, in our sole discretion, to reject, refuse to post, or remove any of your User Content or any materials that you post or submit for posting at our sole discretion and without liability.

 

  • 3. TRIAL, FEES AND PAYMENTS

3.1. Subject to the Terms of Use, our Services are provided to you without charge up to certain limits. Services that are only offered for payment are clearly detailed and marked on the Website (“Paid Services”). The pricing for Paid Services and resources can be found on each individual Teacher profile, as that may be updated from time to time. By using the paid aspects of the Services, you expressly agree to these pricing terms. Paid Services are available according to current offers as subscription or one-off purchases. Billing type, prices and term are defined in each offer and are summarized prior to the end of the order process.

3.2. Before deciding to learn with one of our Teachers, Student can take one free trial lesson with said Teacher that will last for 30 min (“Free Trial”). After Free Trial ends, Student can continue the lesson with chosen Teacher by making full payment for the lesson or take trial lesson for 30 min with any other of our Teachers (“Trial Lesson”). You can take as many Trial Lessons as needed.

3.3. To the extent the Paid Services are made available for a fee, you will be required to select a payment plan and provide us with your payment information. You represent and warrant to us that such information is true and that you are authorized to use the payment instrument. You will promptly update your account information with any changes.

3.4. For all purchased resources and Services, we will charge your credit card, debit card, or other supported method of payment. If you purchase 30 lessons, you are entitled to receive 5% discount. Late payments may bear interest at the rate of 1.5% per month (or the highest rate permitted by law, if less).

3.5. To the fullest extent permitted by law, you waive all claims relating to charges unless claimed within 60 days after the charge (this does not affect your credit card issuer rights). Charges are solely based on our measurements of your use of our Services, unless otherwise agreed to in writing.

3.6. Any fees paid by you hereunder are refundable in the form of “WebTeachers Credit” for 14 days after the payment has been made with a restriction that you can only receive a refund for the unused WebTeachers services. After the 14 days any fees paid by you hereunder are non-refundable. To the fullest extent permitted by law, refunds (if any) are at our discretion and only in the form of credit for our Services that can be used on our Website for future payments (“WebTeachers Credit”)

 

If you wish to cancel your order you can send us this form filled in 14 days from the purchase date. Fill out and send this form only if you want to cancel the contract.

3.7. In the event that WebTeachers suspends or terminates your account or these Terms of Use, you understand and agree that you shall receive no refund or exchange for any unused time on a subscription, any license or subscription fees for any portion of the Services, any content or data associated with your account, or for anything else. Any outstanding balance on your account becomes immediately due and payable upon termination of these Terms of Use for any reason. You will be responsible for withholding, filing, reporting, and paying all taxes, duties and other governmental assessments associated with your activity in connection with the Services.

3.8. Lesson cancellation. You will be entitled to receive a full refund in the form of WebTeachers Credit, if you have confirmed cancellation at least 12 hours prior to the appointed time of your lesson. If you cancel your scheduled lesson less that 12 hours before the appointed time, you are entitled to receive 50% of your payment as WebTeachers Credit. If you cancel your scheduled lesson less than 4 hours before the appointed time, lesson fee paid by you hereunder becomes non-refundable.

3.9. You acknowledge and agree that any credit or debit card and related billing and payment information that you provide to us may be shared by us with companies who work on our behalf, such as third-party payment processors and/or credit agencies, solely for the purposes of processing payment to us and servicing your account. We may also provide information in response to valid legal process, such as search warrants and court orders, or to establish or exercise its legal rights or defend against legal claims. We shall not be liable for any use or disclosure of such information by such third parties. We reserve the right to discontinue the provision of our Services to you for any late payments.

3.10. We may change our fees and payment policies for our Services by notifying you at least 15 (fifteen) days before the beginning of the billing cycle in which such change will take effect. Changes to the fees or payment policies will be posted on the Website. By continuing to use the Services after receiving such notice, you agree to any changes to the fees or payment policies.

3.11. You may not create multiple accounts to simulate or act as a single account or otherwise access our Services in a manner intended to avoid incurring fees.

  • 4. ACKNOWLEDGMENTS, REPRESENTATIONS AND WARRANTIES

4.1. By using the Website or any other of our Services, you thereby affirmatively acknowledge, represent, and warrant the truth and accuracy of each of the following statements:

4.1.1. WebTeachers provides access to an online learning service comprising information and User Content created and posted by you and/or other Users.

4.1.2. Each Student or Student and Parent evaluates the compliance of a particular Teacher with Students educational goals. You understand that you choose a Teacher according to your own best judgement, and WebTeachers is not responsible for said Teachers suitability for Student's expectations, learning goals etc. We provide no guarantee of said Teachers qualifications, experience, skills, including any reliance on the accuracy, completeness, or usefulness of educational content.

4.1.3. You warrant and agree that you will not contribute or otherwise use the Services in a manner that:

4.1.3.1. infringes or violates the intellectual property rights or proprietary rights, rights of publicity or privacy, or other rights of any third party;

4.1.3.2. violates any law, statute or regulation, or breaches any agreement to which you may be a party;

4.1.3.3. is harmful, fraudulent, deceptive, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, or otherwise objectionable,

4.1.3.4. impersonates any person or entity, including without limitation any employee or representative of the WebTeachers;

4.1.3.5. contains a virus or other harmful computer code, file, or program. We reserve the right to remove any User Content from the Website at any time, for any reason (including, but not limited to, upon receipt of claims or allegations from third parties or authorities), or for no reason.

4.2. In addition, you will not, and will not permit anyone else to:

4.2.1. store, copy, modify, distribute, or resell any of the information; audio, visual, and audiovisual works, or other content made available on our Service or compile or collect any WebTeachers Content or other Users' User Content as part of a database or other work;

4.2.2. use any automated tool (e.g., robots, spiders) to access or use our Services or to store, copy, modify, distribute, or resell any WebTeachers Content or other Users' User Content;

4.2.3. rent, lease, or sublicense your access to our Service to another person;

4.2.4. use any Services, WebTeachers Content or other Users' User Content for any purpose except for your own personal educational use;

4.2.5. circumvent or disable any digital rights management, usage rules, or other security features of our Services;

4.2.6. use our Services in a manner that overburdens, or that threatens the integrity, performance, or availability of, our Services;

4.2.7. remove, alter, or obscure any proprietary notices (including copyright and trademark notices) on any portion of our Service, WebTeachers Content or other Users' User Content;

4.2.8. transmit spam, chain letters, or other unsolicited email;

4.2.9. use the Services for any commercial solicitation purposes;

4.2.10. impersonate another person or otherwise misrepresent your affiliation with a person or entity, conduct fraud, hide or attempt to hide your identity.

4.3. Accessing the content available on the Services for any purpose or in any manner other than Streaming is expressly prohibited. "Streaming" means a contemporaneous digital transmission of an audiovisual work via the Internet from the Service to a User's device in such a manner that the data is intended for real-time viewing and not intended to be copied, stored, permanently downloaded, or redistributed by the User.

4.4. WebTeachers has never directed, and never will direct, its Users to upload User Content that infringe upon any right belonging to a third party. Uploading User Content that infringes on third-party rights constitutes a direct and material violation of these Terms of Use and will subject to suspension or termination of User’s account.

4.5. WebTeachers does not have an obligation to control the activities of Users who create and upload User Content to the Website. In the event that a User infringes upon a third party`s rights by creating or uploading User Content, that User is the sole responsible party for such infringement, and WebTeachers has no control or liability over such activity.

4.6. You remain solely responsible for all User Content that you upload, post, transmit, or otherwise disseminate using, or in connection with, the Services, and you warrant that you possess all rights necessary to provide such content to us and to grant us the rights to use such information in connection with the Services and as otherwise provided herein.

4.7. Under no circumstances will the WebTeachers be liable in any way for any content of any third parties (including Users), including, but not limited to, for any errors or omissions in any media, or for any loss or damage of any kind incurred because of the use of any such content. You acknowledge that we do not have a duty to pre-screen User Content or any other content, but that we and our designees will have the right in their sole discretion to refuse or remove any content that is available on the Website. Without limiting the foregoing, we will have the right to remove any User Content that violates these Terms of Use or is deemed by us, in its sole discretion, to be otherwise objectionable. You agree that you must evaluate, and bear all risks associated with, the use of any User Content, including any reliance on the accuracy, completeness, or usefulness of such content.

4.8. In collecting Service fees on behalf of Teachers, and retaining a portion of those Service fees, WebTeachers does not derive a direct financial benefit from any particular User Content. WebTeachers only direct financial benefit comes from operating its Website, which allows Teachers to provide tutoring services and share their User Content. Teachers are the only parties receiving a direct financial benefit by WebTeacher`s Users.

4.9. You understand and agree that we shall have the sole right to decide whether you are in violation of any of the restrictions set forth in these Terms of Use and shall have sole discretion regarding the course of action to take in connection therewith.

4.10. THE USER CONTENT, WEBSITE AND SERVICES OBTAINED THROUGH THE WEBTEACHERS WEBSITE, AND ANY SOFTWARE ARE PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT USE OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

 

  • 5. INDEMNITY

5.1. You will indemnify and hold WebTeachers, its subsidiaries, affiliates, representatives, officers, and employees harmless (including, without limitation, from all damages, liabilities, settlements, costs and attorneys’ fees) from any claim or demand made by any third party due to or arising out of:

5.1.1. your use of and access to the Services, including any data or content transmitted or received by you;

5.1.2. your violation of any term of these Terms of Use, including without limitation your breach of any of the representations and warranties above;

5.1.3. your violation of any third-party right, including without limitation any right of privacy or intellectual property rights;

5.1.4. your violation of any applicable law, rule or regulation;

5.1.5. any other party's access and use of the Services with your unique username, password or other appropriate security code.

 

  • 6. THIRD PARTIES

6.1. The Services may contain links to third party websites or services (“Third Party Services”) that are not owned or controlled by WebTeachers, or the Services may be accessible by logging in through a Third-Party Service. When you access Third Party Services, you do so at your own risk.

6.2. You hereby represent and warrant that you have read and agree to be bound by all applicable policies of any Third-Party Services relating to your use of the Services and that you will act in accordance with those policies, in addition to your obligations under these Terms of Use.

6.3. We have no control over, and assume no responsibility for, the content, accuracy, privacy policies, or practices of or opinions expressed in any Third-Party Services. In addition, we will not and cannot monitor, verify, censor or edit the content of any Third-Party Service.

6.4. By using the Services, you expressly relieve and hold harmless WebTeachers from any and all liability arising from your use of any Third-Party Service.

 

  • 7. TERMINATION

7.1. These Terms of Use shall remain in full force and effect while you use the Services. You may terminate your use of the Services at any time. We may terminate or suspend your access to the Services at any time, for any reason, and without warning, which may result in the forfeiture and destruction of all information associated with your account.

7.2. We may also terminate or suspend any and all Services and access to the Website immediately, without prior notice or liability, if you breach any of the terms or conditions of these Terms of Use. Upon termination of your account, your right to use the Services, access the Website will immediately cease.

7.3. All provisions of these Terms of Use, which, by their nature, should survive termination, shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, and limitations of liability.

7.4. Payment obligations incurred prior to termination will survive termination.

 

  • 8. MISCELLANEOUS

8.1. The failure of either party to exercise, in any respect, any right provided for herein shall not be deemed a waiver of any further rights hereunder. We shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond our reasonable control, including, without limitation, mechanical, electronic or communications failure.

8.2. If any provision of these Terms of Use is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms of Use shall otherwise remain in full force and effect and enforceable.

8.3. These Terms of Use are not assignable, transferable or sublicensable by you except with our prior written consent. We may transfer, assign or delegate these Terms of Use and its rights and obligations without consent.

8.4. Both parties agree that these Terms of Use (including any terms incorporated by reference herein, via hyperlink or otherwise) are the complete and exclusive statement of the mutual understanding of the parties and supersedes and cancels all previous written and oral agreements, communications and other understandings relating to the subject matter of these Terms of Use.

8.5. No agency, partnership, joint venture, or employment is created as a result of these Terms of Use and you do not have any authority of any kind to bind us in any respect whatsoever. Headings for each section have been included above for your convenience, but such headings do not have any legal meaning, and may not accurately reflect the content of the provisions they precede. You agree there are no third-party beneficiaries intended under these Terms of Use.

 

  • 9. COPYRIGHT DISPUTE POLICY

9.1. It is our policy to block access to or remove User Content that is believed to be copyrighted content that has been illegally copied and distributed by any of our advertisers, affiliates, Teachers or other Users and remove and discontinue Service to offenders at our own discretion.

9.2. If you believe that content residing on or accessible through the Website infringes a copyright, please send a notice of copyright infringement to our support email .

9.3. Once notification is received it is our policy to remove or disable access to the infringing content, to notify the Teacher or User that User Content has been removed or disabled and decide whether offenders will have their account and User’s access to the Services and Website terminated.

 

10. ARBITRATION; GOVERNING LAW

10.1. These Terms of Use are subject to and interpreted in accordance with the laws of Republic of Latvia and you irrevocably submit to the exclusive (single) law of the jurisdiction of courts of the Republic of Latvia to settle any disputes which may arise in connection with the creation, legality, effect, interpretation or action, or the legal relationship established by the Terms of Use or in any way arising from the Website or Services. The Parties agree on the exclusive jurisdiction of the courts at the place of business of WebTeachers, if the User does not have a residence in European Union.
